  11.                      GUARANTEE AGREEMENT

  14. @001, referred to as GUARANTOR, in consideration of the extension
  15. of credit by @002, CREDITOR, to @003, DEBTOR, agrees:

  18. GUARANTOR unconditionally guarantees to creditors and its
  19. successors and assigns, the full and complete payment, as and
  20. when the same becomes due and payable, the following obligations
  21. of the DEBTOR to the CREDITOR:

  27. and in addition, all extensions, renewals and consolidations of
  28. the obligation, together with such interest and late charges as
  29. may accrue upon the same. For purposes of this agreement, the
  30. term "obligation," "agreement" or "debt" includes any renewals,
  31. replacements or modifications of the same;

  34. Guarantor shall not be released from the obligations herein due
  35. to:
  36.  
  37.  
  38. a) the taking of security for the obligation;
  39.  
  40.  
  41. b) the failure or delay in taking legal action against the
  42. DEBTOR or collateral, if any;
  43.  
  44.  
  45. c) any other actions permitted under the loan agreement;
  46.

  48. d) any negligence or failure to act of the CREDITOR.

  51. The CREDITOR, in its discretion, may bring suit against the
  52. GUARANTOR, or GUARANTOR(s), jointly severally or individually,
  53. before bringing action against the DEBTOR. The CREDITOR in its
  54. discretion may settle, release and compromise the liability of
  55. debtor or any other guarantor(s) of this agreement without
  56. affecting the liability of the DEBTOR.

  59. This agreement shall bind the successor, heirs, administrators
  60. and legal representatives of the CREDITOR.
